Standard Terms & Conditions for
Elite Training and Consultancy (Scotland) Ltd
These Standard Terms and Conditions (“Terms”) govern the provision of training services by Elite Training and Consultancy (Scotland) Ltd (“Elite”) to its clients (“Client”). By engaging the services of Elite, the Client agrees to be bound by these Terms.
1. Definitions
• Elite: Elite Training and Consultancy (Scotland) ltd, the entity providing the training services.
• Client: The individual, organization, or entity receiving the training services from Elite.
• Services: Training, courses, workshops, and any related services provided by Elite.
• Agreement: The contract formed between the Client and Elite based on these Terms.
2. Services Provided
2.1 Scope of Services
Elite agrees to provide training services as detailed in the proposal, service agreement, or course outline provided to the Client. Services may include in-person or virtual training, workshops, seminars, or consultancy services related to training.
2.2 Customization
If applicable, services may be tailored to meet the specific needs of the Client, subject to additional costs, which will be communicated to the Client before execution.
3. Fees and Payment Terms
3.1 Payment Methods
Accepted payment methods are: cheque (made payable to Elite Training and Consultancy (Scotand) Ltd), bank transfer or card (via online payment form).
3.2 Payment Schedule
• Public Scheduled Courses: Unless otherwise stipulated by Elite, fees for all public scheduled courses are payable 20 working days prior to course commencement, or at time of order where this is less than 20 working days before course commencement. If we do not receive payment, we reserve the right to cancel the booking.
• Closed OR Company-Specific Courses: Unless otherwise stipulated by Elite, fees for Closed or Company Specific-Courses are payable within 14 days from date of invoice, or at time of order where this is less than 14 working days before course commencement. If we do not receive payment, we reserve the right to cancel the booking.
• Voucher Purchase
In the event of a voucher purchase, unless stated otherwise, there is a 24-month usage period. Payment must be made in full within 12 months of booking OR upon commencement of the first course, whichever is sooner. Voucher purchases are non-refundable and cannot be cancelled.
• eLearning
All E-learning licences will be released once payment is made.
3.3 Substitution, Cancellation and Transfer Terms
The Client may substitute Delegates on a course upon notifying Elite in writing at no additional charge, subject to new delegates meeting the published prerequisites.
The Client agrees to pay the following charges to Elite in the event that, for whatever reason, a delegate fails to attend, cancels, transfers or withdraws from a course without providing at least 20 working days’ written notice prior to the scheduled start of the course. (In this respect, a cancellation fee refers to a specific course date and therefore a transfer to a later course is considered a cancellation.)
Elite reserves the right to cancel any training course with full refund available to the client if the course has not been run within a twelve-month period from original course date.
Elite must be informed of cancellations or transfers in writing and the following cancellation fees apply:
• Public Scheduled Courses
Within 11-20 working days of the scheduled training date: 50% of the total course fee
Within 0-10 working days of the scheduled training date: 100% of the total course fee
• Public scheduled Course booked as part of a Track or Prepaid vouchers
Within 11-20 working days of the scheduled training date: 50% of the total course fee
Within 0-10 working days of the scheduled training date: 100% of the total course fee
• Closed or Company-Specific Courses
0-20 working days: 100% of the total course fee
• Voucher Purchases
Voucher purchases are non-refundable and cannot be cancelled.
3.4 Rescheduling
Clients may request to reschedule the training at least 20 working days in advance, subject to availability and potential rescheduling fees.
4. Training Materials and Intellectual Property
4.1 Ownership
All training materials, content, and documentation provided during the training are the intellectual property of Elite unless otherwise agreed in writing.
4.2 Usage Rights
Clients are granted a non-exclusive, non-transferable license to use the training materials solely for internal use. Materials may not be reproduced, distributed, or shared without prior written consent from the Elite.
5. Client Responsibilities
5.1 Information and Cooperation
The Client agrees to provide all necessary information, access, and support required for the Company to deliver the Services effectively.
5.2 Attendance and Participation
The Client is responsible for ensuring the attendance of its personnel at the scheduled training sessions. Elite is not responsible for any delays or disruptions caused by the Client’s failure to meet these obligations.
6. Confidentiality
Both parties agree to keep confidential any information shared during the provision of services that is not publicly available, unless disclosure is required by law.
7. Cancellations and Changes to Courses by Elite
Elite Training and Consultancy will make all reasonable endeavours to ensure any training course for which bookings have been accepted are not cancelled. Prior to 7 days before course commencement, if it becomes necessary for Elite to cancel a course, attendees will be offered alternative dates. If rescheduled dates are not suitable, Elite will refund the cost of the booking in full. No other form of compensation will be given.
